Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the products, platform, and services (“Services”) provided by Spectrity Technologies Private Limited (“Spectrity”, “we”, “our”, or “us”). By accessing or using our Services you agree to be bound by these Terms. If you do not agree, do not use our Services.
1. Description of Services
Spectrity provides an autonomous voice AI platform that enables businesses to deploy AI-powered voice agents for inbound and outbound telephone calls. The platform includes:
- AI voice agent runtime with real-time speech recognition and synthesis
- Multilingual support for Hindi, Hinglish, and English conversations
- CRM and third-party system integrations via APIs and webhooks
- Analytics dashboard, call recordings, and conversation transcripts
- Workflow configuration tools for custom call scripts and escalation logic
We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable prior notice.
2. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:
- Use the Services to make unsolicited calls in violation of the Telecom Commercial Communications Customer Preference Regulations (TCCCP) or the Do Not Disturb (DND) registry
- Impersonate any person or entity or misrepresent your affiliation to deceive call recipients
- Transmit any unlawful, defamatory, harassing, abusive, or fraudulent content through the platform
- Attempt to reverse-engineer, decompile, or extract the source code of any part of the platform
- Overload or disrupt the infrastructure supporting the Services through automated abuse
- Resell or sublicense access to the Services without our prior written consent
Violation of this section may result in immediate suspension or termination of your account without refund.
3. Intellectual Property
All intellectual property rights in the platform, software, documentation, and underlying technology are owned by or licensed to Spectrity. These Terms do not transfer any ownership rights to you.
You retain ownership of all content, data, and call recordings generated through your use of the Services (“Customer Data”). You grant Spectrity a limited, non-exclusive licence to process Customer Data solely to provide and improve the Services as described in our Privacy Policy.
Feedback, suggestions, or ideas you share with us may be used by Spectrity without obligation or compensation to you.
4. Payment Terms
Fees for the Services are set out in your Order Form or Pricing Plan. Unless otherwise agreed:
- All fees are quoted in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise
- Invoices are due within 15 days of the invoice date
- Overdue amounts attract interest at 1.5% per month
- We reserve the right to suspend access for non-payment after providing 7 days' written notice
5. Limitation of Liability
To the maximum extent permitted by applicable law, Spectrity shall not be liable for:
- Any indirect, incidental, consequential, special, or punitive damages, including loss of revenue, data, or business opportunities
- Interruptions or errors in the Services caused by factors outside our reasonable control (force majeure), including telecommunications failures, network outages, or acts of government
- Outcomes of AI-driven conversations, including missed sales, incorrect information conveyed, or customer dissatisfaction arising from AI responses
Our aggregate liability for any claim under these Terms shall not exceed the total fees paid by you to Spectrity in the three-month period preceding the event giving rise to the claim.
6. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation survives termination of these Terms for a period of 3 years.
7. Termination
Either party may terminate these Terms on 30 days' written notice. Spectrity may terminate immediately if:
- You materially breach these Terms and fail to cure the breach within 14 days of notice
- You become insolvent or enter into any insolvency proceedings
- Continued service would violate applicable law
Upon termination, your right to access the Services ceases. We will provide you with a copy of your Customer Data in a standard format for 30 days following termination, after which it will be securely deleted.
8. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Republic of India. The courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.
9. Dispute Resolution
The parties shall attempt to resolve any dispute informally by escalating to senior management within 15 days of written notice of a dispute. If unresolved, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, as amended, conducted by a sole arbitrator agreed upon by both parties. The seat of arbitration shall be Bengaluru, Karnataka, and proceedings shall be conducted in English.
10. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance via email or in-product notification. Your continued use of the Services after the effective date of the revised Terms constitutes acceptance of the changes. If you do not agree, you may terminate your account before the changes take effect.
